1. Definitions

For purposes of these Terms, the following definitions apply:

"Account" means a registered user account created to access certain features, Content, or functionality of the Service.

"Angel Ride" means Angel Ride Enterprises LLC, including its Angel Ride Videos brand, websites, digital platforms, services, representatives, and authorized affiliates.

"Content" means all materials made available through the Service, including but not limited to videos, demonstrations, instructional materials, articles, text, graphics, photographs, images, audio recordings, software, downloads, trademarks, logos, digital products, and other intellectual property.

"Purchase" means a transaction in which you make a payment to obtain a limited license to access designated digital Content through the Service.

"Rental" means a transaction that provides temporary access to designated digital Content for a specified period or under specified conditions disclosed at the time of purchase.

"Service" means the Angel Ride Videos website, streaming platform, applications, digital services, Content delivery systems, and all related products and services operated, provided, or controlled by Angel Ride.

"Terms" means these Terms of Use together with any policies, notices, disclosures, rules, or documents expressly incorporated by reference.

"User," "you," and "your" refer to any individual, business, organization, or other entity accessing or using the Service.

"Privacy Policy" means Angel Ride’s Privacy Policy describing how personal information is collected, used, stored, protected, and disclosed.

2. Acceptance of These Terms

By accessing or using the Service, you agree to be legally bound by these Terms.

You accept these Terms by:

• Accessing or using any portion of the Service;
• Creating an Account;
• Purchasing, renting, or accessing Content;
• Clicking a button labeled "Purchase," "Complete Order," "Submit Order," "Accept," or similar language after being presented with these Terms or a link to these Terms;
• Checking a box stating: "I have read and agree to the Terms of Use."
• Or otherwise indicating acceptance through an electronic action.

Electronic acceptance of these Terms constitutes your legally binding agreement to the same extent as a handwritten signature, to the fullest extent permitted by applicable law.

If you do not agree to these Terms, you must immediately discontinue access to and use of the Service.

3. Eligibility

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction if greater than eighteen (18), to create an Account, purchase Content, or otherwise enter into transactions through the Service.

If you are under the applicable age of majority, a parent or legal guardian must review and accept these Terms on your behalf and complete any purchase or transaction.

By accessing or using the Service, you represent and warrant that:

• You will maintain accurate Account information;

• You understand that use of motorcycle-related Content involves inherent risks.

Angel Ride reserves the right to refuse service, terminate Accounts, or restrict access to the Service if eligibility requirements are not satisfied.

4. Accounts and Account Security

Certain features of the Service may require creation of an Account.

When creating or maintaining an Account, you agree to:

• Provide accurate, current, and complete registration information;
• Maintain and update Account information as necessary;
• Protect the confidentiality of your username, password, and login credentials;
• Use reasonable security practices to prevent unauthorized access;
• Immediately notify Angel Ride of any suspected unauthorized access, security breach, or misuse of your Account; and
• Accept responsibility for activity occurring through your Account unless such activity results solely from Angel Ride’s own actions.

You may not:

• Share your Account credentials with unauthorized individuals;
• Allow another person to access purchased Content through your Account unless expressly authorized by Angel Ride;
• Sell, transfer, assign, or provide access to your Account;
• Use another person's Account without permission;
• Attempt to bypass Account restrictions or access controls; or
• Create multiple Accounts for fraudulent, abusive, or improper purposes.

You are responsible for maintaining the security of your Account credentials.

Angel Ride is not responsible for losses resulting from your failure to protect your Account information, except to the extent such losses result from Angel Ride’s own actions or obligations that cannot legally be excluded.

5. Purchases and Payment

Certain Content may be offered through the Service for purchase or rental.

When completing a transaction, you authorize Angel Ride or its designated payment processor to charge your selected payment method for:

• The purchase or rental price displayed at checkout;
• Applicable taxes;
• Processing fees, if disclosed before purchase; and
• Any additional charges clearly disclosed before completion of the transaction.

You represent and warrant that:

• You are authorized to use the payment method provided;
• All payment information submitted is accurate and current;
• You will promptly update payment information when necessary; and
• You are responsible for reviewing transaction details before completing a purchase.

Payments may be processed through third-party payment providers.

Unless otherwise disclosed in the Privacy Policy, Angel Ride does not store complete payment card information.

Prices, availability, and Content offerings may change at any time.

Any price change will not affect completed transactions before the updated pricing becomes effective.

By completing a purchase, you acknowledge that digital Content may become available immediately following payment and that access rights are governed by these Terms.

6. Digital Content License

Subject to your continued compliance with these Terms, Angel Ride grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and view purchased or rented Content solely through the Service for your personal, non-commercial use.

A Purchase or Rental grants you only a limited right to access Content. It does not transfer ownership of any Content or any intellectual property rights.

All right, title, and interest in and to the Service and all Content remain exclusively owned by Angel Ride or its licensors.

You do not acquire any ownership rights in:

• Videos;
• Audio recordings;
• Demonstrations;
• Instructional materials;
• Articles;
• Images;
• Graphics;
• Software;
• Trademarks;
• Copyrights;
• Trade secrets;
• Trade dress; or
• Any other intellectual property or proprietary materials.

Your access rights are personal to you and may not be:

• Sold;
• Assigned;
• Transferred;
• Shared with unauthorized users;
• Licensed to another person or entity;
• Used for commercial purposes; or
• Made available through any other platform or service.

You may not represent that you own, created, licensed, or otherwise control any Content obtained through the Service.

Access to purchased or rented Content depends upon:

• The continued operation of the Service;
• Angel Ride maintaining the legal right to provide the applicable Content;
• Your continued compliance with these Terms; and
• Technical availability of the Service.

Purchasing or renting Content does not guarantee:

• Lifetime access;
• Permanent availability;
• Uninterrupted access;
• Download rights unless expressly provided;
• Ownership of Content; or
• Availability of Content if the Service is modified, suspended, or discontinued.

Angel Ride reserves all rights not expressly granted under these Terms.

7. Refund Policy

Because the Service provides digital Content that may become immediately accessible after purchase, all sales are final except where:

• A refund is expressly offered at the time of purchase;
• A refund is required by applicable law; or
• Angel Ride determines, in its discretion, that a refund or credit is appropriate.

Unless otherwise required by law, purchases are generally non-refundable once access to digital Content has been provided.

You should carefully review:

• Content descriptions;
• Purchase information;
• Pricing;
• Availability details; and
• Any applicable restrictions

before completing a transaction.

If you believe:

• You were charged incorrectly;
• A billing error occurred;
• A transaction was unauthorized; or
• A technical issue prevented access to purchased Content,

you should contact Angel Ride promptly with relevant details.

Nothing in this Section limits any consumer protection rights or refund rights that cannot legally be waived.

8. Intellectual Property Rights

The Service and all Content are owned by Angel Ride or its licensors and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

Except for the limited access license expressly granted under Section 6, no ownership rights, licenses, or interests are transferred to you.

Without Angel Ride’s prior written authorization, you may not:

• Copy, reproduce, duplicate, or distribute Content;
• Record, capture, or reproduce streamed Content;
• Download Content except where Angel Ride expressly provides a download feature;
• Modify, edit, adapt, translate, or create derivative works from Content;
• Sell, license, sublicense, rent, lease, or commercially exploit Content;
• Publicly display or publicly perform Content;
• Upload Content to another website, platform, application, or service;
• Remove, modify, or conceal copyright notices, trademarks, watermarks, or proprietary notices;
• Reverse engineer, decompile, disassemble, or attempt to discover source code or underlying technology used in connection with the Service except where such restrictions are prohibited by applicable law.

You may share publicly available links provided by Angel Ride, provided that you do not:

• Misrepresent ownership;
• Claim authorship;
• Suggest endorsement or sponsorship;
• Alter the Content;
• Circumvent access restrictions; or
• Use the Content for commercial purposes.

Nothing in these Terms grants you any ownership interest, implied license, or other rights except those expressly provided.

9. Acceptable Use and Prohibited Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You may not:

• Copy, record, capture, reproduce, redistribute, publicly display, or publicly perform streamed Content except as expressly authorized by Angel Ride;
• Circumvent or attempt to circumvent digital rights management ("DRM"), security measures, access controls, or technological protections;
• Use bots, crawlers, spiders, scrapers, automated scripts, artificial intelligence systems, or similar technologies to access, monitor, copy, extract, or collect Content unless expressly authorized by Angel Ride;
• Attempt unauthorized access to the Service, Accounts, servers, databases, networks, or related systems;
• Interfere with, disrupt, damage, or impair the security, integrity, or operation of the Service;
• Introduce malware, viruses, ransomware, malicious code, or harmful technologies;
• Use the Service in violation of any applicable law, regulation, or legal obligation;
• Infringe upon or misappropriate intellectual property, privacy, publicity, or other rights of any person or entity;
• Share purchased access with unauthorized persons;
• Use Content for commercial instruction, resale, publication, training, or business purposes without written authorization from Angel Ride;
• Use the Service to develop, train, improve, or operate competing products or services without Angel Ride’s express written permission;
• Attempt to bypass limitations, restrictions, or security features of the Service; or
• Misrepresent your affiliation with, sponsorship by, endorsement by, or relationship to Angel Ride.

Violation of this Section may result in:

• Suspension or termination of your Account;
• Loss of access to purchased Content;
• Legal action;
• Claims for damages; or
• Other remedies available under applicable law.

10. Educational Content Disclaimer

The Service provides videos, demonstrations, articles, images, and other Content solely for general educational, informational, and entertainment purposes.

The Content is intended to provide general information and demonstrations only.

The Content is not tailored to your:

• Specific motorcycle;
• Motorcycle model, year, or condition;
• Mechanical circumstances;
• Skill level;
• Training or experience;
• Tools or equipment;
• Workspace;
• Safety equipment; or
• Individual situation.

The Content does not constitute:

• Professional mechanical advice;
• Engineering advice;
• Motorcycle inspection services;
• Repair certification;
• Safety certification;
• Technical consulting;
• Legal advice;
• A warranty or guarantee of repair results; or
• A substitute for official manufacturer service documentation.

Angel Ride does not represent, warrant, or guarantee that:

• A demonstrated procedure will correct a specific mechanical problem;
• A procedure is appropriate for your motorcycle;
• A procedure is complete or suitable for all circumstances;
• Any repair can be performed safely by every user;
• Any procedure complies with manufacturer specifications;
• Any procedure complies with applicable laws or regulations;
• Any repair will produce a specific result;
• Any information remains current after publication; or
• Any Content is free from errors or omissions.

Motorcycle manufacturers may change:

• Service procedures;
• Torque specifications;
• Parts;
• Safety requirements;
• Maintenance recommendations;
• Technical service bulletins;
• Recall information; and
• Other technical documentation.

You are solely responsible for verifying all repair, maintenance, and safety information using applicable manufacturer service manuals and other reliable technical resources before performing any work.

The Service is not intended to replace:

• Professional mechanical assistance;
• Emergency repair services;
• Roadside assistance;
• Manufacturer documentation; or
• Your own independent judgment and caution.

If a motorcycle condition appears unsafe, you should discontinue operation and seek appropriate professional assistance.

11. Assumption of Risk

Motorcycle maintenance, repair, modification, inspection, testing, and operation involve inherent risks that cannot be completely eliminated.

By accessing or using the Service, you acknowledge and understand that motorcycle-related activities may result in serious consequences, including but not limited to:

• Serious bodily injury;
• Permanent disability;
• Death;
• Fire;
• Burns;
• Fuel-related hazards;
• Electrical hazards;
• Exposure to hazardous substances;
• Mechanical failure;
• Loss of vehicle control;
• Improper installation of components;
• Equipment failure;
• Property damage;
• Damage to motorcycles or other vehicles; and
• Financial loss.

You voluntarily assume all risks associated with your access to, reliance upon, or use of any Content provided through the Service.

These risks may arise from, among other things:

• Performing maintenance or repairs;
• Modifying motorcycles;
• Installing parts or accessories;
• Using tools or equipment;
• Following demonstrations or instructions;
• Testing completed work;
• Operating a motorcycle after maintenance or repair; or
• Making decisions based on information obtained through the Service.

You acknowledge that:

• Angel Ride does not supervise your work;
• Angel Ride cannot evaluate your individual circumstances;
• Angel Ride cannot determine whether a particular procedure is appropriate for you;
• Angel Ride cannot determine whether you possess the required skill, training, tools, or experience; and
• You are solely responsible for deciding whether to perform any maintenance, repair, modification, inspection, testing, or operation.

Before performing any work, you are responsible for evaluating your own:

• Knowledge;
• Training;
• Experience;
• Mechanical ability;
• Physical ability;
• Tools;
• Equipment;
• Safety equipment;
• Workspace; and
• Personal circumstances.

By using the Service, you accept responsibility for your own decisions, actions, safety, and results.

12. User Responsibilities

You are solely responsible for determining whether you possess the knowledge, training, experience, physical ability, tools, equipment, replacement parts, safety equipment, and appropriate workspace necessary to safely perform any maintenance, repair, modification, inspection, testing, or operation discussed or demonstrated through the Service.

Before performing any work, you should:

• Review the applicable manufacturer’s official service documentation;
• Verify procedures, specifications, warnings, and safety requirements;
• Confirm that parts and tools are appropriate for your motorcycle;
• Use proper protective equipment;
• Work in a safe environment;
• Follow all applicable laws and regulations;
• Carefully inspect completed work; and
• Test completed work carefully before operating a motorcycle.

You should not perform any repair, modification, inspection, or maintenance procedure if you lack the appropriate knowledge, training, experience, tools, equipment, or confidence to perform the work safely.

You should seek assistance from a qualified motorcycle repair professional when appropriate.

Angel Ride does not:

• Supervise repairs;
• Inspect motorcycles;
• Diagnose specific mechanical problems;
• Approve repair methods;
• Verify installation procedures;
• Certify completed work;
• Guarantee repair results;
• Determine whether work performed by you or another person is safe; or
• Assume responsibility for your decisions or actions.

You remain solely responsible for:

• Selecting procedures;
• Performing work;
• Using tools and equipment;
• Selecting parts;
• Following safety practices;
• Determining whether a motorcycle is safe to operate; and
• Accepting the consequences of your decisions.

13. No Professional Relationship

Your access to or use of the Service does not create any professional relationship between you and Angel Ride.

No mechanic-client, engineering, consulting, advisory, repair, fiduciary, or professional services relationship is created by:

• Viewing Content;
• Purchasing Content;
• Communicating with Angel Ride;
• Following demonstrations;
• Using information provided through the Service; or
• Participating in any feature of the Service.

Angel Ride does not provide:

• Individualized mechanical advice;
• Motorcycle inspections;
• Diagnosis of specific motorcycle conditions;
• Repair supervision;
• Engineering services;
• Safety certifications;
• Professional repair services; or
• Guarantees regarding maintenance or repair outcomes.

The Service provides general educational information only.

You remain responsible for obtaining professional assistance when necessary and for making independent decisions regarding any motorcycle-related activity.

14. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANGEL RIDE DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION:

• MERCHANTABILITY;
• FITNESS FOR A PARTICULAR PURPOSE;
• TITLE;
• NON-INFRINGEMENT;
• ACCURACY;
• COMPLETENESS;
• RELIABILITY;
• QUALITY;
• AVAILABILITY;
• SECURITY; AND
• QUIET ENJOYMENT.

ANGEL RIDE DOES NOT WARRANT OR REPRESENT THAT:

• THE SERVICE WILL OPERATE WITHOUT INTERRUPTION;
• THE SERVICE WILL BE ERROR-FREE;
• DEFECTS WILL BE CORRECTED;
• CONTENT WILL ALWAYS REMAIN AVAILABLE;
• CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSES;
• THE SERVICE WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS;
• THE SERVICE WILL BE COMPATIBLE WITH YOUR DEVICES, MOTORCYCLES, TOOLS, EQUIPMENT, OR SOFTWARE;
• CONTENT WILL PRODUCE ANY PARTICULAR RESULT; OR
• INFORMATION PROVIDED THROUGH THE SERVICE WILL REPLACE PROFESSIONAL JUDGMENT OR MANUFACTURER DOCUMENTATION.

YOUR USE OF THE SERVICE AND RELIANCE UPON ANY CONTENT IS ENTIRELY AT YOUR OWN RISK.

NOTHING IN THIS SECTION DISCLAIMS OR EXCLUDES ANY WARRANTY, RIGHT, OR PROTECTION THAT CANNOT LAWFULLY BE DISCLAIMED OR EXCLUDED UNDER APPLICABLE LAW.

15. Release of Claims

In consideration of being permitted to access and use the Service, and to the fullest extent permitted by applicable law, you voluntarily release, waive, and forever discharge Angel Ride Enterprises LLC, Angel Ride Videos, and their respective owners, officers, directors, employees, instructors, presenters, contractors, affiliates, licensors, successors, assigns, and agents (collectively, the "Released Parties") from claims, demands, causes of action, liabilities, damages, losses, costs, expenses, and attorneys’ fees arising out of or relating to:

• Your access to or use of the Service;
• Your reliance upon or use of any Content;
• Motorcycle maintenance, repair, modification, inspection, testing, or operation performed by you or another person acting on your behalf;
• Your decision to perform any procedure, repair, modification, inspection, testing, or other action based on information provided through the Service;
• Mechanical failure;
• Improper repair;
• Improper installation of parts;
• Motorcycle damage;
• Property damage;
• Personal injury;
• Disability;
• Death;
• Medical expenses;
• Towing expenses;
• Repair costs;
• Lost income; or
• Any other losses resulting from your decisions or actions.

You acknowledge that:

• The Service provides general educational information only;
• Angel Ride does not supervise, inspect, approve, or certify your work;
• Motorcycle-related activities involve inherent risks;
• You are responsible for determining whether Content is appropriate for your circumstances; and
• You voluntarily assume responsibility for your use of the Service.

This release applies regardless of the legal theory asserted, including:

• Contract;
• Negligence, to the fullest extent permitted by law;
• Strict liability;
• Warranty;
• Statutory claims; or
• Any other theory of recovery.

Nothing in this Section releases, waives, or limits liability that cannot legally be released, waived, or limited.

Any liability that survives this release remains subject to the limitations contained in Section 16.

16. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND WITHOUT LIMITING THE EFFECT OF SECTION 15, ANGEL RIDE ENTERPRISES LLC, ANGEL RIDE VIDEOS, AND THEIR RESPECTIVE OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, INSTRUCTORS, PRESENTERS, CONTRACTORS, AFFILIATES, LICENSORS, SUCCESSORS, ASSIGNS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO:

• Your access to or use of the Service;
• Your inability to access or use the Service;
• Your reliance upon any Content;
• Errors, omissions, or inaccuracies in Content;
• Service interruptions;
• Content availability;
• Loss of data;
• Loss of profits;
• Loss of revenue;
• Loss of business opportunities;
• Loss of goodwill;
• Loss of use;
• Motorcycle damage;
• Property damage;
• Personal injury;
• Equipment damage; or
• Any other damages arising from or related to the Service.

These limitations apply regardless of the legal theory asserted, including:

• Contract;
• Negligence;
• Strict liability;
• Warranty;
• Statute; or
• Any other theory of liability,

even if Angel Ride has been advised of the possibility of such damages.

TO THE FULLEST EXTENT PERMITTED BY LAW, ANGEL RIDE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE, THESE TERMS, OR ANY CONTENT SHALL NOT EXCEED THE GREATER OF:

1. The total amount paid by you to Angel Ride for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; or
2. One hundred U.S. dollars ($100.00).

You acknowledge that the limitations contained in this Section are an essential basis of the agreement between you and Angel Ride and reflect a reasonable allocation of risk.

Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded under applicable law.

17. Indemnification

You agree to defend, indemnify, and hold harmless Angel Ride Enterprises LLC, Angel Ride Videos, and their respective owners, officers, directors, employees, instructors, presenters, contractors, affiliates, licensors, successors, assigns, and agents (collectively, the "Indemnified Parties") from and against any claims, demands, actions, proceedings, damages, liabilities, judgments, losses, costs, expenses, and reasonable attorneys’ fees arising out of or relating to:

• Your access to or use of the Service;
• Your violation of these Terms;
• Your violation of any applicable law or regulation;
• Your misuse of the Service or any Content;
• Your unauthorized copying, distribution, reproduction, or exploitation of Content;
• Your motorcycle maintenance, repair, modification, inspection, testing, or operation performed by you or another person acting on your behalf;
• Any injury, death, property damage, motorcycle damage, or financial loss caused by your actions, omissions, negligence, misuse, or failure to follow appropriate safety practices; or
• Any third-party claim arising from your conduct or use of the Service.

You are not required to indemnify Angel Ride for claims arising solely from Angel Ride’s own gross negligence, willful misconduct, or unlawful acts to the extent such limitation is prohibited by applicable law.

Angel Ride reserves the right, at its own expense, to assume exclusive control of the defense and settlement of any matter subject to indemnification.

If Angel Ride assumes control of such defense, you agree to reasonably cooperate with Angel Ride in defending the claim.

This Section survives termination of these Terms.

18. Service Availability and Modifications

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

Angel Ride does not guarantee that the Service will:

• Be available at all times;
• Operate without interruption;
• Be free from delays;
• Be error-free;
• Remain compatible with every device, browser, operating system, motorcycle, tool, or equipment;
• Remain available indefinitely; or
• Be free from technical failures or security issues.

The operation and availability of the Service may be affected by factors including:

• Internet connectivity;
• Device compatibility;
• Software or hardware failures;
• Hosting providers;
• Payment processors;
• Third-party services;
• Maintenance activities;
• Security incidents;
• Licensing restrictions;
• Legal requirements;
• Business decisions; or
• Events beyond Angel Ride’s reasonable control.

Angel Ride may modify, update, suspend, restrict, or discontinue any portion of the Service at any time.

Such modifications may include:

• Adding or removing features;
• Changing Content offerings;
• Modifying technical requirements;
• Updating access methods; or
• Discontinuing portions of the Service.

Where reasonably practical, Angel Ride may provide notice of material changes.

However, Angel Ride is not required to provide advance notice unless required by applicable law.

You acknowledge that Angel Ride is not responsible for losses resulting from modifications, interruptions, suspension, or discontinuation of the Service except where liability cannot legally be excluded.

19. Content Availability

Certain Content made available through the Service may become unavailable due to circumstances including:

• Expiration or termination of licensing rights;
• Copyright restrictions;
• Geographic limitations;
• Legal requirements;
• Security concerns;
• Technical limitations;
• Platform changes;
• Business decisions; or
• Other circumstances beyond Angel Ride’s reasonable control.

A Purchase or Rental provides only a limited license to access designated Content through the Service.

A Purchase or Rental does not provide:

• Ownership of Content;
• A permanent copy of Content;
• Download rights unless expressly provided;
• Lifetime access;
• Guaranteed future availability; or
• The right to transfer access.

Continued access depends upon:

• Angel Ride continuing to operate the Service;
• Angel Ride maintaining the legal right to provide the Content;
• Your continued compliance with these Terms; and
• Technical availability of the Service.

To the fullest extent permitted by law, Angel Ride is not responsible for loss of access to Content resulting from circumstances outside Angel Ride’s reasonable control.

20. Suspension and Termination

Angel Ride may suspend, restrict, or terminate your Account or access to the Service if you:

• Violate these Terms;
• Engage in fraudulent, deceptive, abusive, or unlawful conduct;
• Attempt unauthorized access to the Service;
• Circumvent security protections;
• Infringe intellectual property rights;
• Misuse or redistribute Content;
• Share unauthorized access to purchased Content;
• Interfere with the operation or security of the Service; or
• Engage in conduct that may harm Angel Ride, users, or third parties.

Angel Ride may also suspend, modify, or discontinue all or part of the Service for reasons including:

• Legal requirements;
• Regulatory obligations;
• Security concerns;
• Technical limitations;
• Operational needs;
• Licensing restrictions;
• Financial considerations; or
• Business decisions.

Upon termination or suspension:

• Your right to access the Service may immediately end;
• Your Account may be disabled or deleted;
• Your license to access Content may terminate;
• Access to purchased or rented Content may end as permitted under these Terms;
• Information may be retained as permitted or required by law; and
• Provisions that are intended to survive termination shall remain effective.

Termination does not eliminate obligations that arose before termination.

21. Data Retention

Following Account closure, termination of access to the Service, or discontinuation of the Service, Angel Ride may retain certain information as necessary or permitted by applicable law.

Retained information may include information reasonably necessary for:

• Tax reporting and compliance obligations;
• Accounting and business recordkeeping;
• Fraud prevention and security purposes;
• Enforcement of these Terms;
• Protection of Angel Ride's legal rights;
• Responding to legal requests or governmental requirements;
• Resolving disputes; and
• Maintaining records of transactions and communications.

Angel Ride's collection, storage, use, disclosure, and deletion of personal information is governed by the Angel Ride Privacy Policy.

After applicable retention periods expire, retained information may be securely deleted, anonymized, or otherwise handled in accordance with applicable laws and Angel Ride's policies.

Nothing in this Section creates an obligation for Angel Ride to retain information beyond what is required or reasonably necessary for legitimate business, legal, security, or compliance purposes.

22. Third-Party Websites and Services

The Service may contain links to third-party websites, products, services, applications, software, or resources that are not owned, controlled, or operated by Angel Ride.

Angel Ride does not:

• Control third-party websites, services, platforms, or providers;
• Guarantee the accuracy, availability, reliability, security, or quality of third-party resources;
• Endorse or recommend third-party products, services, or providers; or
• Accept responsibility for third-party content, privacy practices, terms of use, policies, or business practices.

Your access to and use of third-party websites, products, services, applications, or resources is entirely at your own risk and is governed solely by the terms, conditions, privacy policies, and agreements applicable to those third parties.

You acknowledge that Angel Ride is not responsible for:

• Third-party websites;
• Third-party services;
• Third-party software;
• Third-party transactions;
• Third-party advertisements; or
• Any loss, damage, claim, or dispute arising from your relationship with a third party.

23. Force Majeure

Angel Ride shall not be liable for any delay, interruption, suspension, failure, or inability to perform its obligations under these Terms caused by circumstances beyond Angel Ride's reasonable control.

Such circumstances may include, but are not limited to:

• Natural disasters;
• Severe weather events;
• Fire;
• Flood;
• Earthquake;
• Pandemic or public health emergency;
• Power failures;
• Internet, telecommunications, hosting, or infrastructure failures;
• Government actions, orders, or restrictions;
• Changes in applicable laws or regulations;
• Labor disputes;
• Cybersecurity incidents;
• Third-party service provider failures;
• Equipment failures;
• War;
• Terrorism;
• Civil unrest; or
• Other events beyond Angel Ride's reasonable control.

A delay, interruption, or failure caused by such circumstances shall not constitute a breach of these Terms.

Angel Ride may take reasonable steps to restore affected portions of the Service when practicable; however, Angel Ride does not guarantee immediate restoration, uninterrupted availability, or continuation of any specific feature or Content.

24. Electronic Communications and Notices

By creating an Account, purchasing Content, or using the Service, you consent to receive communications from Angel Ride electronically.

Electronic communications may include:

• Account confirmations;
• Purchase confirmations;
• Payment receipts;
• Security notices;
• Policy updates;
• Legal notices;
• Service announcements;
• Account-related communications; and
• Other information relating to your use of the Service.

Angel Ride may provide electronic communications through:

• Email sent to the address associated with your Account;
• Notices posted through the Service;
• Notifications within the Service;
• Account messaging systems; or
• Other electronic methods permitted by applicable law.

You are responsible for:

• Maintaining a current and accurate email address associated with your Account;
• Monitoring communications sent to that email address; and
• Ensuring that communications from Angel Ride are not blocked, filtered, or directed to spam folders.

Electronic communications satisfy any legal requirement that communications be provided in writing to the fullest extent permitted by applicable law.

25. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT, HAVE A TRIAL BEFORE A JUDGE OR JURY, AND PARTICIPATE IN CLASS OR REPRESENTATIVE ACTIONS.

(a) Informal Resolution Requirement

Before initiating arbitration or litigation, the party asserting a dispute agrees to provide written notice describing:

• The nature of the dispute;
• The facts supporting the claim;
• The basis for the requested relief; and
• The requested resolution.

The parties agree to make a good-faith effort to resolve the dispute informally for at least thirty (30) days after receipt of written notice.

The notice must be sent to the other party using the applicable contact information provided in these Terms.

This informal resolution requirement does not prevent either party from seeking:

• Emergency relief;
• Temporary or preliminary injunctive relief;
• Relief necessary to preserve legal rights; or
• Other remedies that cannot lawfully be delayed.

(b) Agreement to Arbitrate

Except as expressly provided in this Section, any dispute, claim, or controversy arising out of or relating to:

• These Terms;
• The Service;
• Any Content;
• Any Purchase or transaction;
• Any communication between you and Angel Ride; or
• The relationship between you and Angel Ride,

shall be resolved exclusively through final and binding arbitration rather than through a lawsuit in court.

This arbitration agreement applies regardless of the legal theory asserted, including:

• Contract;
• Tort;
• Negligence;
• Strict liability;
• Statutory claims;
• Fraud;
• Misrepresentation;
• Consumer protection claims; or
• Any other legal theory.

This arbitration agreement is governed by the Federal Arbitration Act ("FAA") and shall survive termination of these Terms.

(c) Arbitration Administrator and Rules

The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, except as modified by these Terms.

Unless otherwise agreed by the parties:

• Arbitration shall be conducted before a single neutral arbitrator;
• The arbitrator shall have authority only over the individual dispute presented;
• The arbitrator shall apply applicable substantive law consistent with these Terms; and
• The arbitrator shall issue a written decision explaining the basis of the award.

Arbitration may be conducted:

• Remotely by video conference;
• By telephone;
• Through written submissions; or
• Through another method permitted by the applicable arbitration rules.

(d) Arbitration Location

If an in-person arbitration hearing is required, it shall take place in Baxter County, Arkansas, unless:

• The parties agree otherwise; or
• Applicable arbitration rules require another location.

(e) Arbitration Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to Angel Ride within thirty (30) days after first accepting these Terms.

Your opt-out notice must include:

• Your full name;
• The email address associated with your Account;
• A statement that you are exercising your right to opt out of arbitration; and
• Your signature.

If you properly opt out, neither party will be required to arbitrate disputes under this Section.

(f) Individual Proceedings Only

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ANGEL RIDE AGREE THAT ALL CLAIMS SHALL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS.

Neither party may participate as a plaintiff, claimant, or class member in:

• A class action;
• Collective action;
• Representative action;
• Private attorney general action; or
• Consolidated proceeding.

The arbitrator shall not have authority to combine claims or conduct arbitration on a class-wide, collective, or representative basis unless required by applicable law.

(g) Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND ANGEL RIDE WAIVE ANY RIGHT TO A TRIAL BY JURY FOR ANY CLAIM THAT IS NOT SUBJECT TO ARBITRATION.

(h) Exceptions

Nothing in this Section prevents either party from:

• Bringing an individual action in small claims court where permitted;
• Seeking injunctive relief to protect copyrights, trademarks, trade secrets, confidential information, or security interests;
• Seeking emergency relief permitted by law; or
• Pursuing any remedy that cannot legally be waived.

(i) Severability of Arbitration Provisions

If any portion of this arbitration agreement is determined to be unenforceable:

• The remaining portions shall remain effective to the fullest extent permitted by law;
• Any unenforceable provision shall be modified only to the minimum extent necessary to make it enforceable; and
• The parties' intent to resolve disputes through arbitration shall be preserved wherever legally permitted.

26. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable by a court or other tribunal with proper jurisdiction, that provision shall be enforced to the maximum extent permitted by applicable law.

If a provision cannot be enforced as written, it shall be modified only to the minimum extent necessary to make it enforceable while preserving, as closely as possible, the original intent and purpose of the parties.

The determination that any provision of these Terms is invalid, unlawful, or unenforceable shall not affect the validity, legality, or enforceability of any other provision of these Terms.

27. Waiver

No failure, delay, or omission by Angel Ride in exercising any right, remedy, or provision under these Terms shall operate as a waiver of that right, remedy, or provision.

Any waiver must be:

• Expressly provided;
• Made in writing; and
• Signed by an authorized representative of Angel Ride.

A waiver of any breach, violation, or default shall not constitute a waiver of any subsequent breach, violation, or default.

No course of conduct, practice, or dealing between the parties shall modify or waive any provision of these Terms unless expressly agreed to in writing.

28. Assignment

You may not assign, transfer, delegate, sublicense, or otherwise dispose of any rights or obligations under these Terms without Angel Ride's prior written consent.

Any attempted assignment or transfer by you in violation of this Section shall be void.

Angel Ride may assign, transfer, delegate, or otherwise dispose of these Terms, in whole or in part, without restriction, including in connection with:

• A merger;
• An acquisition;
• A sale of assets;
• A corporate restructuring;
• A change in ownership;
• A transfer of the Service or related business operations; or
• Any other business transaction involving Angel Ride.

These Terms shall be binding upon and enforceable by the parties and their respective permitted successors and assigns.

29. Entire Agreement

These Terms, together with the Angel Ride Privacy Policy and any additional policies, notices, agreements, or documents expressly incorporated by reference, constitute the entire agreement between you and Angel Ride regarding your access to and use of the Service.

These Terms supersede all prior or contemporaneous:

• Agreements;
• Understandings;
• Representations;
• Communications;
• Discussions; and
• Proposals,

whether written, oral, electronic, or otherwise, relating to the Service.

No statement, representation, promise, or communication not expressly included in these Terms shall create any obligation, warranty, or liability unless separately agreed to in a written agreement executed by an authorized representative of Angel Ride.

30. Privacy Policy

Your use of the Service is also governed by the Angel Ride Privacy Policy.

The Privacy Policy explains how Angel Ride collects, uses, stores, protects, and discloses information obtained through your use of the Service.

The Privacy Policy is incorporated into these Terms by reference.

If there is a conflict between these Terms and the Privacy Policy regarding the collection, use, storage, or disclosure of personal information, the Privacy Policy shall control to the extent required by applicable privacy laws.

31. Changes to These Terms

Angel Ride may revise, update, or modify these Terms from time to time.

When changes are made, Angel Ride will update the Effective Date displayed at the beginning of these Terms.

For material changes, Angel Ride may provide notice through reasonable methods, including:

• Posting updated Terms through the Service;
• Sending notice to the email address associated with your Account;
• Displaying a notice when you access the Service;
• Requiring acceptance of updated Terms before continued use; or
• Using any other method permitted by applicable law.

Your continued access to or use of the Service after revised Terms become effective constitutes your acceptance of the updated Terms.

If you do not agree to revised Terms, you must discontinue use of the Service.

32. No Third-Party Beneficiaries

Except as expressly provided in these Terms, these Terms do not create any rights, benefits, claims, or remedies for any person or entity other than you and Angel Ride.

Notwithstanding the foregoing:

• The Released Parties identified in Section 15; and
• The Indemnified Parties identified in Section 17;

are intended third-party beneficiaries of those Sections and may enforce the protections, releases, limitations, and rights provided therein.

No other person or entity shall have any right to enforce any provision of these Terms.

33. Survival

Any provision of these Terms that by its nature or purpose should survive termination, cancellation, suspension, or expiration shall remain in effect after your Account is closed, your access to the Service ends, or the Service is discontinued.

Without limitation, the following Sections survive termination:

• Section 6 — Digital Content License;
• Section 8 — Intellectual Property Rights;
• Section 10 — Educational Content Disclaimer;
• Section 11 — Assumption of Risk;
• Section 12 — User Responsibilities;
• Section 15 — Release of Claims;

• Section 25 — Dispute Resolution; Binding Arbitration; Class Action Waiver;
• Section 26 — Severability;
• Section 27 — Waiver;
• Section 29 — Entire Agreement;
• Section 30 — Privacy Policy; and
• Any other provision that by its nature is intended to survive.

35. Acknowledgment

By accessing or using the Service, you acknowledge and agree that:

• You understand that motorcycle maintenance, repair, modification, inspection, testing, and operation involve inherent risks;
• You voluntarily assume responsibility for your decisions and actions;
• You are solely responsible for determining whether any information provided through the Service is appropriate for your circumstances;
• The Service provides general educational and informational Content only;
• Angel Ride does not provide professional mechanical, engineering, inspection, repair, or safety services through the Service;
• The Service does not replace official manufacturer documentation, qualified professional assistance, or your own judgment and caution;
• You are responsible for using appropriate tools, equipment, safety procedures, and resources when performing any work;
• You understand that Angel Ride does not supervise, inspect, certify, or guarantee any repair, modification, maintenance procedure, or result; and
• You agree to be legally bound by these Terms.
